General Terms and Conditions

A General Provisions

1. Scope

1.1. The General Terms and Conditions of CT Academy AG (hereinafter referred to as “CT Academy”) govern the legal relationship between you as a customer or user of our services and CT Academy. By accepting any quotation or by submitting your binding registration, you confirm that you agree to the validity of these General Terms and Conditions. The version of the General Terms and Conditions in force at the time the contract is concluded shall apply.

1.3. Any terms and conditions deviating from these General Terms and Conditions require the prior written approval of CT Academy.

2. Written Form

All agreements and legally relevant declarations of the contracting parties require written form in order to be valid. Electronic declarations (e-mail, website, chat) are deemed equivalent to written form.

3. Orders

Only orders placed with CT Academy in writing are legally binding on CT Academy. By placing your order, you undertake to pay the invoiced amount unless you have exercised your right of withdrawal within the applicable cancellation periods. Invoices are issued to the address stated by you in the order.

B Consulting Services and Courses

4. Course Registrations

Registrations must be submitted to CT Academy in writing. As the number of participants in our consulting sessions and courses is limited, registrations are considered in the order in which they are received.

A registration becomes effective upon written confirmation by CT Academy. By registering, you accept our terms of participation.

5. Quality Guarantee

High quality and customer-friendly service are our top priority. For this reason, CT Academy deploys only proven experts and subject-matter specialists for your training project and cooperates only with training providers that can demonstrate a comparably high quality standard.

For all courses that take place on a regular basis, CT Academy may grant a repeat guarantee. This means that the participant is permitted to attend the same course again at a later date within one year of the original course start date without having to pay the course fees again. This does not apply to direct costs, such as those for licences, labs and catering.

6. Cancellation

An order, as well as a registration for one of our coaching sessions or courses, is binding. Should you nevertheless be prevented from attending, we ask you to contact us in advance and to cancel your participation in writing. The cancellation only becomes valid upon our written confirmation. The respective cancellation terms set out below shall apply.

6.1 The following applies to public courses and individually agreed coaching sessions: for cancellations made more than 10 working days (Monday to Friday, excluding public holidays) before the agreed date (first day of the course or coaching), cancellation is free of charge, with the exception of any licence costs / expenses / travel costs that may already have been incurred. For cancellations made within 10 working days, 50% of the estimated fees will be charged. For cancellations made less than 5 working days before the respective agreed date (first day of the course or first day of coaching) or in the event of non-attendance, the full fee will be charged. The participant is, however, entitled to receive any courseware. The foregoing shall not apply if a substitute participant is nominated. Costs of an organisational nature that have already been incurred and can no longer be cancelled, such as licence costs / expenses / travel costs, are generally shown separately.

6.2 The following applies to individual courses (such as in-house training/workshops) and coaching sessions as well as to room rentals: for cancellations made more than 20 working days before the agreed date (first day of the course), cancellation is free of charge, with the exception of any licence costs / expenses / travel costs that may already have been incurred. For cancellations made 6 to 20 working days before the respective agreed date (first day of the course), we charge a cancellation fee amounting to 50% of the total price. Cancellations made less than 6 working days before the agreed date (first day of the course) will be charged at 100% of the total price. Where prices are flat-rate or all-inclusive, third-party costs are included in the price. If, at the time of cancellation, third-party services that have already been booked bindingly and can no longer be cancelled, in particular fees and cancellation charges of external trainers, flight and hotel bookings, licence, lab and exam costs, exceed the cancellation fee, the amount exceeding it is invoiced in addition. We provide evidence of these costs on request. Costs of an organisational nature that have already been incurred and can no longer be cancelled, such as licence costs / expenses / travel costs, are generally shown separately.

6.3 For courses delivered by a partner company or by a vendor itself, different cancellation terms very often apply; these will, however, be expressly stated in the relevant quotation or in the order confirmation.

7. Prices

Please refer to the current course calendar, our website or your quotation for the applicable coaching and course prices. Prices on the website and in individual offers only become binding upon written confirmation or order confirmation. As a rule, all prices stated are exclusive of statutory value added tax (VAT). CT Academy determines whether the charging of VAT is to be waived in accordance with Art. 21 para. 2 no. 11 of the Swiss Federal Act on Value Added Tax (VAT Act). For services rendered abroad, the tax regulations applicable in the respective country shall apply.

8. Invoicing

The invoice shall be paid in accordance with the payment term stated on the invoice. The published costs and prices are generally stated in Swiss francs (CHF) and may change at any time without special notice. CT Academy reserves the right to charge advance payments, reminder fees or default interest.

9. Satisfaction Guarantee

CT Academy is convinced of the quality of its services and may offer a satisfaction guarantee in a quotation, in particular for new customers.

In this case, an invoice is only payable if you are satisfied with the service received. If you are not satisfied with a service received, this must be noted in the course evaluation or submitted to CT Academy in writing, stating the reasons, no later than 2 working days after the first day of the course.

The satisfaction guarantee does not apply to the costs associated with a course, such as exam fees, courseware and labs; these remain payable in any event.

10. Travel Costs and Expenses

The travel costs and expenses of trainers and consultants for on-site courses are already included in the course fees unless they have been shown separately. Separately shown costs (such as hotel costs, flight tickets, etc.) are charged at actual cost and can no longer be cancelled once a booking has been confirmed.

11. Services

11.1 For courses held on CT Academy’s own premises, the course fees include the following services: provision of the training rooms with the infrastructure required for the respective course (e.g. individually preconfigured hardware and software or labs in the cloud), provision of a qualified trainer to teach the defined course content, and refreshments during breaks (beverages, light snacks, fruit).

11.2 For courses held on the customer’s premises or at other external training venues, the customer is responsible for providing the necessary infrastructure. The customer shall designate to CT Academy, in good time, a person responsible for the technical infrastructure. This person shall establish and verify the technical prerequisites for a successful course in accordance with CT Academy’s specifications and with its assistance. If a course cannot be held, or can only be partially held, owing to inadequately prepared infrastructure, the customer shall be liable for all resulting consequential costs. Optionally, CT Academy may provide the hardware or labs required for a course and carry out all preparatory measures at the customer’s premises or at an external training venue. This requires a prior written agreement or order.

11.3. In the case of public online courses, the customer or course participant is responsible for checking in good time (at least 6 working days before the start of the course) that the technical course requirements for their hardware and software are met in accordance with CT Academy’s specifications. This applies in particular to the speed of the internet connection and any firewall restrictions.

12. Certificate

Upon request, each participant receives, for successful participation in a course, a CT Academy course certificate issued in their name.

13. Responsibility

The choice of course lies within the participant’s area of responsibility. Each course is carefully prepared and delivered in accordance with the current state of the art. We accept no liability for any advice given or for the use of the knowledge acquired.

14. Copyright

The courseware and media issued may not be reproduced or passed on to third parties without the express written permission of CT Academy.

15. Copyright Protection

The software used in the courses is protected by copyright. This software may neither be copied nor removed from the training room. CT Academy accepts no liability whatsoever for claims for damages that may arise from viruses or malware on unauthorised copies.

16. Liability

If a course is cancelled due to illness of the trainer, force majeure or other unforeseeable events, there is no entitlement to the event being held.

In such cases, CT Academy cannot be obliged to reimburse travel and accommodation costs or loss of working time. No liability is accepted for indirect damage, in particular loss of profit or third-party claims.

17. Insurance

Each participant is personally responsible for maintaining adequate insurance cover. CT Academy cannot be held liable for the theft or loss of items and valuables. All CT Academy facilities are used at the user’s own risk.

18. Non-Competition

You as the customer undertake not to solicit any internal or external employees of CT Academy. The direct engagement of our trainers and coaches for your own training activities without the prior written approval of CT Academy is expressly excluded.

D Final Provisions

19. Miscellaneous

19.1 The customer may only set off claims against CT Academy if such claims have been acknowledged or established by a final and binding decision.

19.2 The customer may not withhold payments on account of any counterclaims not acknowledged by CT Academy.

19.3 The contractual place of performance for both contracting parties is Brüttisellen, ZH.

19.4 These General Terms and Conditions supersede all previous versions. Amendments or additions to this contract shall only be valid if agreed in writing. This also applies to any amendment of this written form clause.

19.5 Should individual provisions of this contract be or become invalid or unenforceable after conclusion of the contract, this shall not affect the validity of the remainder of the contract. The invalid or unenforceable provision shall be replaced by the valid and enforceable provision whose effects come as close as possible to the economic objective pursued by the contracting parties with the invalid or unenforceable provision. The foregoing provisions shall apply mutatis mutandis in the event that the contract proves to be incomplete.

20. Place of Jurisdiction

The courts having local jurisdiction at the registered office of CT Academy shall have exclusive jurisdiction over disputes arising from this contract. Swiss law shall apply exclusively.
